OmicsBean User License Agreement

Please read this document carefully before using our product. By buying and using this product, you agree to be bound by the terms of this agreement.

This “User License Agreement” is a legal agreement between you and GeneForHealth Biotech Inc (GFK). Please read this agreement carefully before buying the product.

Any relevant software, features, photos, documents, etc. are granted to you according to the clause of this agreement, while this agreement also applies to any subsequent releases and upgrades related to this product. Once you have registered, used, downloaded the outcome document or otherwise used the services provided by this product, you are deemed to have agreed to be bound by the terms of this agreement. If you refuse to be bound by the terms of this agreement, please stop using the service provided by this product.

Ⅰ.Grant of License

The following rights are granted to you by this agreement：

1. The right to use OmicsBean commercial software product, as well as the right of updating OmicsBean freely and enjoy the after-sale services within the purchase period.
2. The right to use data analysis services provided by OmicsBean system (including file upload, data analysis and results download, etc.) and consultation service within the purchase period.
3. The right to use analysis results provided by OmicsBean system (such as documents, figures and tables, etc.) in SCI publication and scientific research within the purchase period.
4. The priority of implementation of user’s customized requirements in OmicsBean system.
5. The user of OmicsBean can have 20% discount while cooperating with the copyright owner in any CRO projects.

Ⅱ.User’s Responsibility

1. The user may not provide any outcome of OmicsBean (including analysis report, result document and figures, etc.) to any third party or individual.
2. The user may not provide any design idea or analysis algorithm of OmicsBean to any third party or individual.

Ⅲ.Copyright Owner’s Services and Responsibility

1. The copyright and interpretation of OmicsBean are owned by GeneForHealth Biotech (GFK) Inc.
2. The copyright owner, GFK Inc., has the responsibility to ensure that the users can obtain the full functionality of OmicsBean, and provide free updating service, after-sale service and advertising industry.
3. The copyright owner, GFK Inc., may not provide any user information or experimental data to any third party or individual.

Ⅳ.Cost Statement

1. OmicsBean is developed based on open-source program and public databases. All open-source resources used in the development obey the GNU General Public License, and can be access from the link in “Reference” module of the help session on the homepage of OmicsBean (www.omicsbean.com:88).
2. The use cost of OmicsBean includes multifunction integration, system framework, functional design, genomics data analysis and design ideas and algorithms, and other research services; excluding public database resources and open-source programs that obey the GNU General Public License.

Ⅴ.Disclaimer

OmicsBean provides data analysis services and does not assume responsibility for other security. For any direct or indirect damages arising from the use of this software, the software assumes no liability.

Ⅶ.Statement

OmicsBean users and copyright owner should strictly abide by the terms of this agreement and fulfill their responsibilities. As one of the parties in violation of this agreement and violated the rights and interests of the other party, the other party shall be entitled to be held accountable.

请您在使用本软件前仔细阅读本条款，购买使用本软件的用户视为对本协议的接受，并同意接受本协议各项条款的约束。

本《用户许可证》是您（个人或机构团体）和与金弗康生物科技（上海）有限公司开发的OmicsBean商业软件之间的法律协议，在您购买使用本软件之前请您仔细阅读此协议。

任何与本《协议》有关的软件，功能，图片，文档等都应按本《协议》的条款授予您的，同时本《协议》适用于任何有关本软件产品的后期发布和升级。您一旦注册，使用，下载结果文件或以其他方式使用本软件产品提供的服务都视为同意接受本协议条款的约束。如果您拒绝接受本《协议》条款的约束，请您停止使用本产品提供的服务。

一、许可证的授予，本《协议》授予您以下权利：

1. 购买OmicsBean 商业软件后在购买期限内拥有软件的使用权，软件更新及售后服务。
2. 购买期限内享受OmicsBean系统提供的各项数据分析服务（包括文件上传，数据分析，图表下载等）及咨询服务。
3. 购买软件的用户可以将系统分析结果包括文档，图表用于文章发表，科学研究等。
4. 购买软件的用户可以享受定制化需求在软件中实现的优先权。
5. 购买软件的用户如与软件版权所有者有外包合作可以享受八折优惠。

二、用户需承担的责任

1. 用户不得向第三方单位或个人提供软件分析报告，结果文档，图片等本软件提供的服务。
2. 用户不得将软件设计思路及分析方法提供给第三方单位或个人。

三、版权所有者提供的服务与需承担的责任

1. OmicsBean软件版权与解释权归金弗康生物科技（上海）有限公司所有。
2. 版权所有者金弗康生物科技（上海）有限公司有责任确保软件为购买用户提供软件全部功能的数据分析服务，并提供系统的更新服务，售后服务以及行业内的广告推广。
3. 版权所有者金弗康生物科技（上海）有限公司不得将用户的信息以及实验数据提供给第三方单位或个人。

四、费用申明

1. OmicsBean是基于开源程序，公共数据库开发的数据分析系统，使用的开源程序都遵循GNU通用公共许可协议，本系统(www.OmicsBean.com:88/)主页Help中的Reference模块提供所用到的第三方数据资源和开源程序的访问链接。
2. OmicsBean 数据分析系统使用费用主要包括系统的多功能整合技术，系统框架，功能设计，组学数据分析设计思路和方法以及提供的其他科研服务，不包括系统使用的公共数据库资源，遵循GNU协议的开源程序资源。

五、免责申明

OmicsBean 软件提供数据分析服务，不承担其他担保责任，对于因使用本软件所产生的任何直接或间接的的损害，本软件不负任何责任。

六、解释权申明

七．责任申明

软件购买者与软件所有者双方应严格遵循本《协议》规定的条款履行好自己的责任，如其中一方违反协议侵犯了另一方的权益，另一方有权依法追究其责任。
